1. Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the LIVE CITY OS platform, including the website at www.livecityhub.com, associated APIs, mobile experiences, and any related services (collectively, the “Service”), operated by New 8 Records Co., Ltd. (“LIVE CITY”, “we”, “us”, or “our”). By creating an account, signing in via a third-party identity provider, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally capable of entering into a binding contract to use the Service. By using the Service you represent that you meet these requirements. Brand and Operator accounts must be created and managed by an authorised representative of the relevant legal entity.
3. The Service
LIVE CITY OS is an operating system for creator commerce. It allows registered brands, creators, and operators to manage live-streamed campaigns, content scheduling, inventory custody, performance analytics, payouts, and related workflows. Accounts are scoped by role (Creator, Brand, or Operator) and grant different capabilities. We may add, remove, or modify features at any time.
4. Accounts & Security
You are responsible for all activity that occurs under your account, for safeguarding your credentials, and for promptly notifying us of any unauthorised access. We support sign-in through OAuth providers, including Google, LINE, and TikTok; by using these providers you also accept the applicable provider’s terms. You may not share, sell, or transfer your account.
5. Third-Party Integrations (including TikTok)
The Service integrates with third-party platforms such as TikTok, Google, LINE, Meta, and Shopify. When you connect a third-party account, you authorise us to access, store, and process the data necessary to deliver the requested features (for example, basic profile information, public content metadata, or authorisation tokens). Your use of those third-party platforms is also governed by their own terms; in particular, your use of TikTok features is subject to TikTok’s Terms of Service and Developer Terms. We are not responsible for the availability, accuracy, or legality of third-party services.
6. Acceptable Use
You agree not to, and not to permit anyone else to:
- violate any law, regulation, or third-party right (including intellectual property);
- upload content that is unlawful, defamatory, sexually explicit involving minors, hateful, or that infringes any right;
- impersonate any person or misrepresent your affiliation;
- interfere with the Service, probe for vulnerabilities, or bypass access controls;
- scrape, crawl, or harvest data without our prior written consent;
- use the Service to send spam, malware, or unsolicited promotional material;
- reverse engineer, decompile, or otherwise attempt to derive source code, except as permitted by law.
7. User Content
You retain all rights in the content you upload or generate through the Service (“User Content”). By submitting User Content you grant LIVE CITY a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, and display that content solely to operate and improve the Service and to deliver features you have requested (such as cross-posting to a connected platform). You represent that you have all rights necessary to grant this licence.
8. Fees, Payouts & Taxes
Brand and Operator usage of the Service may be subject to fees set out in a separate commercial agreement. Creator payouts, brand invoices, and any associated withholding tax or e-Tax filings are processed in accordance with the rates and timing disclosed in the relevant in-product workflow. You are responsible for any taxes applicable to your use of the Service.
9. Intellectual Property
The Service, including all software, design, text, graphics, and trademarks, is the property of LIVE CITY or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
10. Suspension & Termination
We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law, or if continuing to provide the Service to you would create legal or security risk. You may close your account at any time by contacting us at legal@livecityhub.com. Sections intended to survive termination (including IP, disclaimers, liability, and governing law) will continue to apply.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data will be retained without loss.
12. Limitation of Liability
To the maximum extent permitted by law, in no event will LIVE CITY, its affiliates, officers, employees or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service. Our aggregate liability under these Terms will not exceed the greater of (a) the fees paid by you to us in the twelve (12) months preceding the event giving rise to liability, or (b) THB 5,000.
13. Indemnification
You will indemnify and hold harmless LIVE CITY and its affiliates from any claim, loss, or expense (including reasonable legal fees) arising from your User Content, your breach of these Terms, or your misuse of the Service.
14. Governing Law & Disputes
These Terms are governed by the laws of the Kingdom of Thailand, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the courts located in Bangkok, Thailand, unless a mandatory law in your country of residence requires otherwise.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new effective date and, where appropriate, communicated to you through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
